Dispatcher–Carrier Agreement

This Dispatcher–Carrier Agreement ("Agreement") is made between Pro Dispatch (hereafter referred to as "Dispatcher") and the carrier company named below (hereafter referred to as "Carrier"). This Agreement defines the relationship in which Dispatcher provides load searching, dispatch coordination, and paperwork assistance for the Carrier's trucking operations.

    Scope of Dispatch Services

    Dispatcher agrees to provide dispatch services including searching for freight loads, communicating with brokers and shippers, negotiating rates when authorized, and coordinating necessary paperwork such as rate confirmations and load details. Dispatcher is only responsible for locating loads and coordinating all dispatch-related paperwork.

    24/7 Dispatch Service

    Dispatcher agrees to provide dispatch support and communication assistance to the Carrier on a daily basis for load coordination and operational support.

  3. 3

    Independent Contractor

    Dispatcher is an independent contractor and not an employee, agent, or broker of the Carrier.

    Dispatch Service Fee

    Carrier agrees to pay Dispatcher a dispatch service fee of ______ % per load, OR a flat fee of $______ per load, OR a flat fee of $______ per week (circle one). Payment must be made within 3 days after the dispatch service week.

    Payment Protection

    Dispatcher fees are due regardless of whether the Carrier receives payment from the broker or shipper.

  6. 6

    Carrier Responsibilities

    Carrier agrees to maintain all licenses, permits, and insurance required by the Federal Motor Carrier Safety Administration (FMCSA).

  7. 7

    Broker Contact Restriction

    Carrier agrees that any load option provided by the Dispatcher must be booked through the Dispatcher, and Carrier will not contact the broker directly to take the same load offered by the Dispatcher.

  8. 8

    Non-Payment / Violation

    If Carrier fails to pay dispatch service fees, stops communication, or abandons the Agreement without clearing outstanding dues, Dispatcher reserves the right to take necessary recovery action, including service charges and reporting the violation, which may negatively affect the Carrier's MC record.

  9. 9

    Liability Protection

    Dispatcher shall not be liable for damages, delays, loss of freight, driver conduct, or payment disputes between Carrier and any broker or shipper.

  10. 10

    Termination

    Either party may terminate this Agreement at any time; however, all outstanding dispatch fees or financial obligations must be cleared before termination is finalized.

Fee options: 7–8% for box trucks and hotshots, 5–7% for all other trucks (minimum 5%), or a flat $100 per load or $400 per week. All rates are negotiable and the agreed fee is filled in when the agreement is signed.
